How We Invest – Our Investment Criteria
We believe “strong managers build strong companies.” Our unique investment model offers entrepreneurs significant flexibility in their approach to building their businesses and achieving their long-term strategic objectives. The collaborative and supportive relationships we develop with our clients create significant value at each critical step of the investment process: from the initial investment, through the build phase, and to liquidity. And all along this path we take the position that we think like investors and work like partners. Not only do we provide the capital, but also the expertise and experience necessary to grow successfully.

Invest and Build with Management
We frequently begin our investments by forming a company (or other legal entity) with our management partners to identify and pursue attractive acquisitions or transactions. In these cases, management’s ownership is determined up front, and Summit’s capital is used to fund the new company as it seeks its initial acquisition/transaction. In other instances, we initiate investments by backing the incumbent management of an existing company to acquire the business, and then provide additional capital to support their ongoing growth initiatives. No matter which approach, Summit Capital provides our clients with the financial backing and strategic counsel to realize their vision.
Profit with Management
At Summit Capital we have no predetermined exit requirements or time horizons for our investments. Our goal is, quite simply, to create substantial value for our investors and clients. As such, we take a long-term but opportunistic view regarding realizing liquidity on our investments. The view of our client partners is critical in all liquidity decisions. Summit Capital’s principals have extensive capital market and industry-specific experience and are thus instrumental in determining the appropriate time for an exit.
Summit Capital provides the following Corporate Finance services:
- Performing initial due diligence to gain a thorough understanding of our client’s business and strategic objectives,
- Helping clients develop a capitalization strategy that consists of the optimal amount of equity, debt and mezzanine financing,
- Helping clients develop a functional and persuasive business plan that provides guidance and real life milestones against which an entrepreneur can gauge progress,
- Preparing a Confidential Information Memorandum that accurately and effectively portrays and positions the client for the investor community,
- Selecting, retaining and overseeing competent external legal and accounting professionals to prepare and review both private and public offering documentation to ensure compliance with applicable laws and regulations then in effect,
- Leveraging our strong relationships with private equity groups, high net worth investors, broker-dealers, institutional investors and a wide range of debt sources to identify a potential investors,
- Supporting our client through the due diligence process and working closely with management to prepare and complete all documentation typically required by investors prior to funding,
- Assisting our client in negotiating a term sheet and/or reviewing the fundamentals of a finance offer,
- Working with a client company to structure, transact and close a financing transaction, including both hands-on work with management, as well as instructing and overseeing third parties in the completion of work required in the context of the transaction,
- Assessing the potential for an IPO and leading the identification and selection of an appropriate and qualified underwriting team,
- Assessing the potential for a reverse merger with an existing public company, including the identification of and completion of due-diligence in order to qualify a potential merger candidate,
- Assisting our client and the selected underwriting team in drafting any Offering Memorandum, Registration Statement or Prospectus documentation, including, specifically, the hands on work needed to assemble and prepare the documentation required in order to actually prepare such offering documents,.
- Assisting the management group in completing all regulatory compliance issues associated with public or private financing initiatives,
- Advising management on creating effective corporate road shows to highlight investment opportunities,
- Advising management on the implementation of on-going regulatory compliance, including on-going reporting of material changes and purchases or sales of securities by insiders and affiliates.
