What We Do

Summit Capital USA, Inc. (“Summit Capital”) is the US subsidiary of an established Merchant Bank, Business Advisory, and Venture Capital firm based in Canada. Our history of success demonstrates an understanding of the many challenges that companies face when seeking to raise capital to fund growth. At Summit Capital, our primary purpose is to provide traditional Merchant Banking Services that include direct investment into client companies, and Venture Capital services through which we leverage our established contacts in the small to mid-cap finance arena to raise money for our clients. Additionally, we also provide strategic Business Advisory Services to guide our clients through a wide variety of strategic business activities, including mergers and acquisitions, corporate finance, company valuations, board advisory and fairness opinions, hostile takeover counsel, buy and sell-side advisory services, and corporate and commercial mediation, and dispute resolution services. At Summit Capital our market focus is centered primarily on the technology, telephony, retail, industrial, and energy/resource sectors. Our clients are typically in North America and our focus is completing financing and other transactions in the $1,000,000 to $10,000,000 range.

The simple fact is that businesses need capital to grow. This is particularly true for those companies that have only recently grown to the stage where they have begun to generate positive cash-flow from operations. Typically companies at this stage of development have burned through traditional start-up capital sources, such as personal savings and friends and family investments, and entrepreneurs often “stall” their business growth due to lack of capital. Many companies at this early stage of development do not generate sufficient free cash-flow to permit continued capital investments in revenue-generating assets, nor do they allow for other expenses such as the hiring of additional sales people or expanding the reach of proven advertising. At Summit Capital we recognize the difficulties that entrepreneurs face because our people have started, operated and grown businesses ourselves. We have the hands-on experience that allows us to truly understand the needs of our clients.

At Summit Capital we focus on the needs of small to mid-cap companies that need growth capital to expand business opportunities. We typically provide Merchant Banking services, whereby we invest our own capital, in situations where companies require up to $1,000,000 to fund capital purchases needed to increase revenues to the point where the business creates sufficient free cash-flow to sustain both growth and profitability. We expand our service offering to include Venture Capital services for our client companies that wish to go public and substantially grow their operations. Often at this stage many companies also retain our services to do recapitalizations, debt restructurings or mergers and acquisitions. Our Business Advisory services teams have years of experience in these fields and are able to navigate a business through the many difficulties inherent in these transactions.

Summit Capital provides Merchant Banking, Business Advisory and Venture Capital services to clients in the United States and Canada. Our sector focus includes investments in retail, energy, mining, telephony, technology and certain special situations. We generally review each investment opportunity by first assigning each business plan to a specialized analyst that examines the company and its need. If an investment meets our basic criteria it is referred to our investment committee for review and approval. We aim to respond with 10 business days to each opportunity presented to us but in many cases a decision to proceed with a direct investment from us requires additional due-diligence and site visitations.

We are small in size and what separates us from others who practice in the same field is that we take the time to get to know our clients. Since 1994 we have provided services to clients across North America. Our office presence in the United States is new but our contacts are well established through years of client representation. Additionally, the professional staff in our US offices have decades of experience in various segments and are thus well situated to help our clients.

At Summit Capital we are unique in that we provide three primary services: Merchant Banking, Business Advisory and Venture Capital. There are very few established firms that provide all of these services. Smaller yet is the number of firms that choose to invest their own capital into their client companies. We believe that entrepreneurs need money and advice – but not always in that order. In most cases, our clients come to us with an acute need because of an emergent problem or because of an emergent opportunity that requires capital. What is common to almost all our clients is the need for quick advice and even quicker capital. At Summit Capital, our professionals have a breadth of legal, accounting, and operational expertise, so we can focus on tackling the issues at hand versus spending valuable time outsourcing these services to third party providers.
